Deadline for Joint Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Requirements Extended to December 31, 2027

Deadline for Joint Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Requirements Extended to December 31, 2027

Pursuant to the Communiqué on the Extension of the Deadline for Joint Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Amounts, published in the Official Gazette dated October 17, 2026, and numbered 33403, the deadline for companies to increase their capital to meet the statutory minimum requirements has been extended to December 31, 2027.

Under the Turkish Commercial Code No. 6102, the minimum capital requirements for joint stock and limited liability companies were increased effective January 1, 2024. The deadline previously set as December 31, 2026, for existing companies to comply with these requirements has now been extended by one year under the new regulation.

Under the new regulation, the minimum capital requirements applicable to each company type are as follows:

  • Joint Stock Company: TRY 250,000
  • Limited Liability Company: TRY 50,000
  • Non-Publicly Traded Joint Stock Company Subject to the Registered Capital System (Initial Capital): TRY 500,000

Companies whose capital is below the statutory minimum amounts are required to complete the necessary capital increase procedures by December 31, 2027, at the latest.

The extension does not eliminate the obligation to increase capital; it merely provides companies with additional time to comply with the legal requirements.

Joint stock and limited liability companies that fail to complete the required capital increase within the specified deadline will be at risk of being deemed dissolved pursuant to Provisional Article 15 of the Turkish Commercial Code.

Therefore, companies are advised to review their existing capital amounts, adopt the necessary general assembly resolutions, and complete the relevant trade registry registration procedures before the deadline.

You can access the details on this matter in the "Communiqué on the Extension of the Deadline for Joint Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Amounts" published in the Official Gazette. (In Turkish)
